Press releases 10 November 2006 Dear Shareholder As we indicated in our 2006 Annual Report sent to you in October 2006, we have continued to progress the restructuring of Active Equities into a unit trust. In accordance with rule 42(1)(b) of the Takeovers Code (the Code) we advise you that we have now received a takeover notice from Active Equity Managers Limited, in its capacity as the manager of the Active Equities Investment Trust (a unit trust established and registered under the Unit Trusts Act 1960), in respect of a proposed takeover offer under the Code for all of the fully paid ordinary shares in Active Equities. Shareholders will be offered one unit in the Trust for every share they currently hold. This is a necessary step in the restructuring. The takeover offer document, the target company statement, the investment statement for the offer of units in the unit trust, and the independent adviser’s report on the merits of the takeover offer will be sent to you on or around 24 November 2006. In the meantime, please contact us if you have any questions in relation to the takeover offer. Yours sincerely Director 7 February 2007 NOTICE OF DOMINANT OWNERSHIP AND THAT THE TAKEOVER OFFER IS NOW UNCONDITIONAL We refer to our takeover offer for all of the ordinary shares in Active Equities Limited dated 7 December 2006 (the Offer). Pursuant to Rule 51 of the Takeovers Code (the Code), we give notice that Active Equity Managers Limited has become the holder or controller, directly or indirectly, of 90% or more of the voting rights in Active Equities Limited under the Offer. As a result of becoming the dominant owner, we also give notice, pursuant to Rule 25(5) of the Code, that the Offer is now declared unconditional. The Offer has been extended by us and remains open for acceptances until 6 March 2007.
